ClearOrder Terms of Service

Note: These Terms are a working draft pending review by legal counsel. They are presented to describe how ClearOrder may be used and are not a substitute for a fully negotiated agreement.

These Terms of Service govern your use of ClearOrder, operated by Thakkar Enterprises ("Company", "we", "us").

1. Acceptance of Terms

By accessing or using ClearOrder, you agree to be bound by these Terms. If you disagree, do not use the service.

2. Description of Service

ClearOrder is a construction supply chain management platform that provides order management, inventory tracking, and QuickBooks integration services for construction material distributors.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. QuickBooks Integration

ClearOrder integrates with Intuit QuickBooks Online. By connecting your QuickBooks account, you authorize ClearOrder to access your QuickBooks data as permitted by your subscription plan.

5. Fees

Use of ClearOrder is subject to the fees agreed between you and the Company for your specific engagement. Fees and payment schedule are set out in your order form or written agreement. Except as required by law, fees are non-refundable. We may change fees on reasonable advance notice.

6. Intellectual Property & Restrictions on Use

ClearOrder, including its software, source code, design, user interface, structure, organization, documentation, and all underlying ideas, methods, and know-how (collectively, the "Platform"), is owned by Thakkar Enterprises and is protected by intellectual property and other laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your internal business purposes only. No ownership rights are transferred to you.

Except to the extent expressly permitted by these Terms or by applicable law that cannot be waived, you will not, and will not permit any user or third party to:

You may not use the Platform to provide a service bureau, time-sharing, or other commercial offering to third parties without the Company's prior written consent. All rights not expressly granted to you are reserved by Thakkar Enterprises.

7. Data Security

We implement industry-standard security measures to protect your data. Your data is isolated from other customers and is never sold to third parties.

8. Limitation of Liability

ClearOrder is provided "as is". Thakkar Enterprises shall not be liable for any indirect, incidental, or consequential damages arising from use of the service.

9. Termination

Either party may terminate the subscription at any time. Upon termination, your data will be retained for 30 days and then permanently deleted.

10. Governing Law

These Terms are governed by the laws of the State of California, United States.
